Terms of Service

Effective date: June 30, 2026

These Terms of Service (“Terms”) govern your access to and use of Forma and the Investimate™ (the “Service”), provided by Vivere LLC (“Vivere,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Forma is a software and analytics product that includes an analytical engine and property-level valuation outputs, including the Investimate and the As-Is value. The Service may be offered in beta and may change, be suspended, or be discontinued at any time.

2. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You are responsible for your account, for keeping your credentials secure, and for all activity under your account. You will provide accurate information and not share your access with others.

3. Acceptable use

You will not, and will not assist or permit anyone else to:

• use any bot, scraper, crawler, or other automated means to access the Service, or extract, harvest, or bulk-collect data or outputs;
• reverse engineer, decompile, disassemble, benchmark, or attempt to derive or replicate the methodology, models, formulas, scoring, data sources, workflows, prompts, or analytical logic behind the Service or the Investimate;
• reproduce, redistribute, publish, sell, sublicense, or incorporate the Service or any output into any application, calculator, database, model, or other automated or software system, except as expressly licensed by Vivere;
• remove, obscure, or alter any proprietary notices, labels, watermarks, disclaimers, or confidentiality markings;
• use the Service to build or improve a product, service, model, dataset, or feature that is substantially similar to the Service or the Investimate; or
• use the Service in violation of any law or third-party right.

4. Intellectual property

Vivere owns and retains all right, title, and interest in and to the Service, the Investimate, and all related software, methodologies, data, content, and trademarks (including Investimate™). You receive no license or ownership interest except a limited, personal, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. Any feedback you provide is licensed to Vivere on a perpetual, irrevocable, royalty-free basis to use without restriction.

5. Estimates; not an appraisal; not advice

The Investimate and the As-Is value are proprietary, automated, modeled estimates. The Investimate is a modeled estimate of a property’s value as a long-term rental; the As-Is value is a modeled estimate of what to pay given the property’s condition. They are not appraisals and are not opinions of value developed by a licensed appraiser under the Uniform Standards of Professional Appraisal Practice.

For the As-Is value: This represents an estimated sale price for this property. It is not the same as the opinion of value in an appraisal developed by a licensed appraiser under the Uniform Standards of Professional Appraisal Practice.

The outputs are informational estimates only. They are not, and may not be relied on as, financial, investment, legal, or tax advice, a recommendation, a guarantee of value or return, or an appraisal, and they are not for use in any mortgage lending, loan origination, credit underwriting, or other credit decision, or in any federally related transaction. Values carry as-of dates and change. Verify all figures and obtain independent professional advice before acting.

6. No brokerage relationship

Vivere LLC, or its principal, is a licensed real estate broker in one or more U.S. states. Using the Service does not create a brokerage, agency, or fiduciary relationship between you and Vivere, and Vivere is not acting as your broker or agent unless you and Vivere separately agree in writing.

7. Not a consumer report

Forma is not a consumer reporting agency, and the Service and its outputs may not be used for tenant screening, credit, insurance, employment, housing eligibility, or any other purpose regulated by the Fair Credit Reporting Act or similar laws.

8. Third-party data

The Service incorporates third-party and modeled data that Vivere does not independently verify and that may be incomplete, out of date, or inaccurate. Some third-party data is subject to the providers’ own terms and attribution requirements.

9. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. VIVERE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

10. Limitation of liability

To the fullest extent permitted by law, Vivere and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, business, or investment. Vivere’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed one hundred U.S. dollars ($100).

11. Indemnification

You will indemnify and hold Vivere harmless from any claims, losses, and expenses arising out of your use of the Service or your breach of these Terms.

12. Termination

We may suspend or terminate your access at any time. On termination, your right to use the Service ends; the sections that by their nature should survive will survive.

13. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Dallas, Texas.

14. Changes; general

We may update these Terms and will post the updated version with a new effective date. These Terms are the entire agreement regarding the Service except where a separate signed agreement applies. If any provision is unenforceable, it will be modified or severed and the rest will remain in effect. You may not assign these Terms without our consent; we may assign them freely. Our failure to enforce a provision is not a waiver.
